This flockx Inc User Agreement ("Terms") applies to your access to and use of the websites (https://flockx.io, mobile app, APIs, emails, and other online products and services (collectively, the "Services") provided by flockx, Inc. ("flockx," "we," "us," or "our").

By accessing the website at https://flockx.io, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms or are located outside of the United States, you are prohibited from using or accessing our products & services. The materials contained in this website are protected by applicable copyright and trademark law.

Your Access to the Services

No one under 13 is allowed to use or access the Services. We may offer additional Services that require you to be older to use them, so please read all notices and any Additional Terms carefully when you access the Services.

By using the Services, you state that:

  • You are at least 13 years old and over the minimum age required by the laws of your country of residence to access and use the Services;
  • You can form a binding contract with flockx
  • You are not barred from using the Services under all applicable laws; and
  • You have not been permanently suspended or removed from the Services.

If you are accepting these Terms on behalf of another legal entity, including a business or government entity, you represent that you have full legal authority to bind such entities to these Terms.

Community Guidelines

We want everyone to feel welcome at flockx, and we have created these Guidelines to define the values of the community we want to build. At flockx, you're connected not by a shared interest, but a shared desire to provide authentic recommendations. Let's build strong communities together.

  1. Be respectful to your community members 💕

    Strong communities are built on strong relationships.

  2. Do not discriminate 👎

    We do not tolerate racism, hateful language, or discrimination of any kind.

  3. Illegal content 🔫

    We don't allow support or praise of terrorism, organized crime or hate groups. Offering sexual services and selling firearms and drugs are also prohibited.

  4. Do not engage in harmful activity 🤕

    We prohibit any activity that could hurt someone, from physical harm to graphic violence and scams.

You, our community members, play a key role in neighborhood moderation by reporting content or users that violate these Guidelines. Please remember that disagreeing with a post is not a reason to report it. This slows down our ability to remove content that is truly abusive and to create a platform where everyone feels welcome.

Acceptance of Community Partner Terms and Conditions

By using the Flockx platform, you acknowledge and agree that certain challenges, activities, or events may be organized by our community partners who utilize our platform. Participation in these challenges, activities, or events may be subject to the terms and conditions, privacy policies, or other rules established by those community partners.

By engaging with such challenges or activities through the Flockx platform, you agree to comply with the applicable terms and conditions set forth by the community partners. Flockx does not assume responsibility for the content, requirements, or conduct of these community partners and encourages you to review their terms and conditions before participating.

If you do not agree to the terms and conditions of any community partner, you should refrain from participating in their challenges, activities, or events facilitated through the Flockx platform.

Acceptable Use and AI Safety

Flockx uses artificial intelligence models to provide its services, including AI team members that can generate text, images, and other content on your behalf. You are responsible for how you use the Services and for any content you create, share, or cause to be generated through the Services. You agree to use the Services in compliance with all applicable laws and regulations. The following rules apply to all users without exception.

Prohibited Content and Activities

You may not use the Services to create, share, solicit, or distribute content or engage in activities that:

  • Violate any law or regulation in your jurisdiction, including laws related to fraud, consumer protection, privacy, intellectual property, anti-money laundering, or export controls
  • Exploit, endanger, or sexualize minors in any way, including generating, distributing, or soliciting child sexual abuse material (CSAM), grooming, or exposing minors to age-inappropriate content. Any content involving the sexual exploitation of minors will result in immediate and permanent account termination and mandatory reporting to the National Center for Missing and Exploited Children (NCMEC) and applicable law enforcement authorities
  • Generate, request, or distribute nude, sexually explicit, or intimate images of any individual using AI models or any other feature of the Services, whether the subject is real or fictional, and regardless of whether the individual depicted has consented. This includes but is not limited to deepfakes, AI-generated nudity, undressing or clothing removal, and any manipulation of images to create sexual or intimate content. Generating nude or sexually explicit images of any person may violate state and federal laws and will result in account termination
  • Upload or submit images of other individuals to AI features for the purpose of generating manipulated, sexualized, or otherwise harmful depictions of those individuals
  • Promote or facilitate violence or terrorism, including inciting, glorifying, or providing material support for violent extremism, terrorism, or hateful behavior
  • Harass, bully, threaten, or defame other individuals, or coordinate campaigns of intimidation or abuse
  • Generate or distribute hate speech or discriminatory content targeting individuals or groups based on race, ethnicity, religion, national origin, gender, sexual orientation, disability, or any other protected characteristic
  • Create or spread misinformation, including fabricating false news, generating deepfakes, or producing deceptive content designed to mislead others about facts, events, or the identity of its source
  • Facilitate fraud, scams, or phishing, including creating falsified documents, fake identities, counterfeit goods, or deceptive schemes designed to cause financial or psychological harm
  • Compromise computer systems, networks, or infrastructure, including developing malware, conducting unauthorized access, exploiting vulnerabilities, or disrupting critical infrastructure
  • Violate the privacy or identity rights of others, including unauthorized collection of personal information, non-consensual surveillance, biometric profiling, or impersonation of real individuals
  • Engage in or facilitate the acquisition or exchange of illegal goods or services, including controlled substances, human trafficking, or unlicensed financial services

AI Model Usage and Limitations

The AI features of the Services are powered by third-party language models and proprietary technology. When using AI features, you acknowledge and agree that:

  • AI-generated outputs may be inaccurate, incomplete, or biased. You are responsible for reviewing and verifying any AI-generated content before relying on it
  • AI outputs do not constitute professional advice. You must not rely on the Services as a substitute for licensed professional guidance in areas such as medicine, law, finance, tax, or mental health
  • You may not use AI features to generate content that would violate the Prohibited Content and Activities listed above, including but not limited to sexually explicit imagery, nude or intimate images of any person, or content that exploits minors
  • You may not attempt to circumvent, bypass, or override the safety measures, content filters, or usage restrictions built into the Services or its underlying AI models
  • You are responsible for any actions taken by your AI team members on your behalf, including content generation, communications, and any automated tasks
  • You may not use the Services to train, distill, or extract the weights, parameters, or capabilities of the underlying AI models without our express written permission

Enforcement and Account Termination

We take the safety of our users and the integrity of our platform seriously. To protect our community, we employ a combination of automated systems and human review to detect and address violations of these terms. Our enforcement actions may include, at our sole discretion:

  • Issuing warnings or requiring acknowledgment of policy violations
  • Temporarily restricting or suspending access to specific features or the entire Services
  • Permanently terminating your account
  • Removing, filtering, or modifying content that violates these terms
  • Reporting illegal activity to the relevant law enforcement authorities
  • Cooperating with law enforcement investigations where required by law or where we believe there is an imminent risk of harm
  • Pursuing legal remedies, including claims for damages and injunctive relief

Mandatory Enforcement for Severe Violations

Certain violations require immediate action and are not subject to warnings or graduated enforcement. The following will result in immediate and permanent account termination:

  • Any content that sexually exploits, depicts, or endangers minors, including AI-generated content. We are legally obligated to report such content to the National Center for Missing and Exploited Children (NCMEC) and will cooperate fully with law enforcement investigations
  • Using the Services to generate nude, sexually explicit, or intimate imagery of any individual, whether through AI image generation, image manipulation, or any other means
  • Using the Services to facilitate, plan, or carry out acts of violence, terrorism, human trafficking, or other serious criminal activity
  • Repeated or egregious violations of the Prohibited Content and Activities listed above after prior notice

We reserve the right to preserve and disclose account information and content as required by law or when we have a good-faith belief that such action is necessary to comply with legal process, protect the safety of any person, or prevent death or serious bodily harm.

Reporting Violations

If you encounter content or behavior on the Services that you believe violates these terms or applicable law, please report it to contact@flockx.io. We review all reports and take appropriate action in accordance with these terms and applicable law.

Use License

Permission is granted to temporarily download one copy of the materials (information or software) on flockx's website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license you may not:

  • modify or copy the materials;
  • use the materials for any commercial purpose, or for any public display (commercial or non-commercial);
  • attempt to decompile or reverse engineer any software contained on flockx systems;
  • remove any copyright or other proprietary notations from the materials; or
  • transfer the materials to another person or "mirror" the materials on any other server.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by flockx at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

Disclaimer

The materials on flockx website are provided on an 'as is' basis. flockx makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, flockx does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

Limitations

In no event shall flockx or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on flockx website, even if flockx or a flockx authorized representative has been notified orally or in writing of the possibility of such damage.

Accuracy of materials

The materials appearing on flockx website could include technical, typographical, or photographic errors. flockx does not warrant that any of the materials on its website are accurate, complete or current. flockx may make changes to the materials contained on its website at any time without notice. However flockx does not make any commitment to update the materials.

Links

flockx has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by flockx of the site. Use of any such linked website is at the user's own risk.

Modifications

flockx may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service.

Governing Law

These terms and conditions are governed by and construed in accordance with the laws of Delaware and you irrevocably submit to the exclusive jurisdiction of the courts in that State or location.

Submitting content removal requests

We understand that copyrighted, trademarked, or private content may get published on flockx – either accidentally or on purpose – sometimes in repositories that you do not own. Because the nature of this content varies, and because of different applicable laws, each category has its own, distinct reporting requirements outlined in our policies.

If you'd like to request that content be removed from flockx, please take some time to acquaint yourself with each of these policies and their respective reporting requirements before submitting a report. If we receive an incomplete report, we'll need to ask for clarifications or revisions and you'll need to re-submit a revised report.

Please note that we're not able to help you determine which policy is appropriate for your specific situation. Digital Millennium Copyright Act (DMCA) Takedown Policy

The DMCA Takedown Policy can be used to report content that you believe infringes a copyright owned by you or your organization. Once you have reviewed the policy, you may also want to review our Guide to Submitting a DMCA Takedown Notice before submitting a report.

Trademark Policy

The Trademark Policy can be used to report content that appears to use your company or business name, logo, or other trademark-protected materials in a manner that may mislead or confuse others about brand or business affiliation.

Private Information Removal Policy

The Private Information Removal Policy can be used to report data that is private (confidential and poses a security risk), but that is not necessarily protected by copyright or trademark.

Cryptocurrency Wallet Services

Wallet Creation and Usage

As part of our services, we automatically create a cryptocurrency wallet address for each user ("Wallet"). This Wallet enables you to receive and store cryptocurrency tokens ("Digital Assets"). You acknowledge and understand that you are solely responsible for any activities conducted through your Wallet and the security of any Digital Assets stored therein.

Risk Acknowledgment

You expressly acknowledge and accept that:

  • Cryptocurrency transactions are irreversible. Once executed, transactions cannot be reversed or cancelled. You are solely responsible for ensuring the accuracy of any transaction details, including but not limited to recipient addresses and transaction amounts.
  • Digital Assets stored in your Wallet may be lost permanently if you:
    • Lose access to your account credentials
    • Share your private keys or account credentials with third parties
    • Fall victim to phishing attacks or other fraudulent activities
    • Send Digital Assets to incorrect addresses
    • Fail to properly secure your account

Limitation of Liability

We explicitly disclaim all liability, to the maximum extent permitted by applicable law, for:

  • Any loss, theft, or unauthorized access to Digital Assets stored in your Wallet
  • Any errors or mistakes you make in handling or transferring Digital Assets
  • Any technical failures, network issues, or system downtime that may affect access to your Wallet
  • Any losses resulting from:
    • Market volatility or cryptocurrency price fluctuations
    • Third-party services or applications you may use in conjunction with your Wallet
    • Regulatory changes affecting cryptocurrency
    • Blockchain network issues or protocol changes
    • Hacks, exploits, or security breaches
    • Your failure to maintain proper security measures

Security Responsibilities

You agree to:

  • Maintain sole control and confidentiality of your account credentials
  • Implement appropriate security measures to protect your account and Wallet
  • Promptly notify us of any unauthorized access or security breaches
  • Accept that we cannot assist in recovering lost Digital Assets or reversing transactions

Regulatory Compliance

You are solely responsible for:

  • Understanding and complying with all applicable laws and regulations regarding cryptocurrency in your jurisdiction
  • Reporting and paying any applicable taxes on your cryptocurrency transactions
  • Ensuring your use of the Wallet complies with local regulations

We reserve the right to modify, suspend, or terminate the Wallet service at any time without prior notice. Your continued use of the Wallet constitutes acceptance of these terms and any future modifications.
